What is an ESAL?
Nonprofit Entities (ESAL, by their Spanish acronym) are organizations whose primary purpose is not to generate economic profits for their members, but to fulfill a social, cultural, educational, environmental, or humanitarian function. In Colombia, ESALs include foundations, associations, corporations, and cooperatives, and are regulated by Decree 2150 of 1995 and Law 2294 of 2023.
These entities play a fundamental role in the country's social development, complementing government action in areas where institutional presence is limited. According to Chamber of Commerce data, there are more than 300,000 active ESALs in Colombia.
Prerequisites for incorporation
Before starting the formal creation process, it is important to be clear about the following aspects:
- Define the social purpose: what will be the organization's mission?
- Gather at least two founders (individuals or legal entities)
- Determine the most appropriate type of ESAL: foundation, association, or corporation
- Have a defined main domicile
- Establish the initial equity, if applicable
Step 1: Draft the bylaws
The bylaws are the founding document of the ESAL. They must include at minimum: the entity's name, domicile, social purpose, equity, governance and administration bodies, member regulations, and grounds for dissolution and liquidation.
It is recommended that the bylaws be reviewed by a lawyer specializing in corporate or third-sector law to avoid future problems with inspection, surveillance, and control entities.
